Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of Packachange.com and purchases of products or services through Packachange.

By accessing or using Packachange, creating an account, submitting an order, accepting a quote, or purchasing products or services from us, you agree to these Terms and applicable policies incorporated into them.

“Packachange,” “we,” “us,” and “our” refer to Packachange Inc.

IMPORTANT DISPUTE RESOLUTION NOTICE: These Terms contain a binding arbitration agreement and class-action waiver. Except for certain disputes described below, you and Packachange agree to resolve covered disputes through individual binding arbitration rather than in court. Please review Section 31 carefully.

1. Packachange Marketplace

Packachange provides an online marketplace for packaging, foodservice products, shipping supplies, and related products and services.

Products may be sold, supplied, shipped, or fulfilled by Packachange or participating sellers, suppliers, manufacturers, distributors, or fulfillment partners.

Products within the same order may ship separately, arrive at different times, use different carriers, or originate from different locations.

A fulfillment address appearing on a shipping label is not necessarily a Packachange facility or an authorized return location.

2. Orders & Order Acceptance

Placing an order constitutes an offer to purchase the products and services included in that order. Receipt of an order confirmation does not necessarily constitute final acceptance.

Packachange may reasonably reject, limit, or cancel orders because of product availability, pricing or product-information errors, incorrect specifications, shipping limitations, seller availability, payment problems, suspected fraud, legal requirements, or circumstances making fulfillment commercially impracticable.

If Packachange cancels a paid order and no other amount is properly owed, the applicable amount will be refunded.

3. Customer Responsibility

Customers are responsible for reviewing product specifications, sizes, quantities, case counts, billing information, shipping addresses, delivery methods, and freight requirements before submitting an order.

4. Pricing & Product Information

Packachange makes reasonable efforts to maintain accurate prices, descriptions, photographs, dimensions, specifications, quantities, and availability.

Errors may occur, and Packachange may correct inaccuracies.

If a material error affects an order, Packachange may contact the customer, correct the transaction with the customer's agreement, or cancel and refund the affected portion.

Product images are for reference. Packaging, labeling, shades, manufacturer markings, and other non-material characteristics may vary where the product remains materially consistent with its description.

5. Quotes & Custom Pricing

Quotes may contain expiration dates and transaction-specific terms.

Pricing for custom, imported, special-order, or extended-lead-time products may depend on freight rates, tariffs, duties, materials, exchange rates, governmental charges, and other costs.

If extraordinary costs materially change before procurement or production, Packachange may contact the customer before proceeding.

6. Payment

Customers authorize Packachange and its payment providers to charge amounts properly associated with their transactions.

Customers are responsible for applicable product, shipping, delivery, freight, tax, customization, and accessorial charges.

7. Payment Disputes & Chargebacks

Customers who believe there is an error concerning a charge, order, delivery, refund, or transaction should contact info@packachange.com so Packachange has an opportunity to investigate.

Customers agree not to knowingly initiate an improper chargeback for a valid transaction solely because they changed their mind, ordered incorrectly, failed to complete an authorized return, are responsible for return shipping or a restocking fee, incurred valid freight accessorial charges, refused a valid shipment, received a split shipment, or approved a custom product produced according to the approved specifications.

Nothing in these Terms prevents customers from exercising legitimate rights through their bank, card issuer, payment provider, or applicable law.

Packachange may provide relevant transaction records, tracking, proof of delivery, communications, accepted quotes, proofs, shipping documentation, return records, policies, and other relevant evidence to institutions handling a payment dispute.

A chargeback does not by itself extinguish an otherwise valid underlying payment obligation.

Packachange may restrict accounts or credit privileges in response to repeated fraudulent or abusive chargebacks.

8. Taxes

Customers are responsible for applicable taxes and for providing valid exemption documentation when claiming tax-exempt status.

9. Order Changes & Cancellations

For 2-Hour Delivery orders, customers have 15 minutes after placing the order to request a change or cancellation.

For all other orders, customers have 2 hours after placing the order to request a change or cancellation.

After these periods, modifications and cancellations cannot be guaranteed.

Orders that have shipped or been dispatched cannot be canceled.

Custom, printed, personalized, or special-order products may become non-cancelable once procurement, production, printing, or customization begins.

10. Shipping & Delivery

Shipping and delivery times are estimates unless expressly guaranteed in writing.

The Shipping & Delivery Policy contains additional terms governing shipments and deliveries and is incorporated into these Terms.

11. Freight & LTL Deliveries

Customers are responsible for accurately identifying delivery requirements.

Residential Delivery must be selected where applicable.

Liftgate Service must be selected when the destination lacks an appropriate loading dock, forklift, or unloading equipment.

Customers are responsible for valid carrier accessorial charges resulting from their delivery circumstances or inaccurate/incomplete information, including residential, liftgate, limited-access, inside-delivery, appointment, redelivery, storage, detention, reclassification, reconsignment, and address-correction charges.

Such charges may be assessed after delivery and subsequently billed to the customer.

12. Returns & Refunds

Eligible products may generally be returned within 30 days after delivery, subject to the Returns & Refunds Policy.

Returned merchandise generally must be unused, unopened, in original packaging, and resalable.

A 15% restocking fee applies to eligible customer-requested returns unless the return results from an incorrect, damaged, or defective product for which Packachange accepts responsibility.

Customers are responsible for return shipping costs for customer-requested returns.

Original shipping and delivery charges are generally non-refundable for customer- requested returns.

Returns require Packachange authorization.

13. Refused Shipments

Refusing delivery does not constitute an authorized return.

Customers refusing otherwise valid shipments may be responsible for original shipping, return shipping or freight, carrier charges, storage, redelivery costs, and applicable restocking fees.

14. Custom & Special-Order Products

Custom-manufactured, printed, personalized, and special-order products may be non- cancelable and non-returnable after procurement, production, printing, or customization begins.

Customers are responsible for reviewing artwork, logos, text, colors, dimensions, specifications, materials, quantities, and proofs before approval.

Reasonable manufacturing and printing tolerances may apply.

15. Product Suitability

Customers are responsible for determining whether products are appropriate for their intended applications, including temperature, food contents, chemicals, microwave or freezer use, weight, pressure, storage, shipping conditions, material compatibility, and regulatory requirements.

Samples, specifications, recommendations, or customer-service assistance do not constitute a guarantee of suitability unless expressly agreed in writing.

16. Samples

Samples are provided for evaluation.

Customers remain responsible for testing product suitability before commercial use or significant purchases.

17. Product Cleanliness & Sterility

Unless expressly identified as sterile, products are not represented or guaranteed to be sterile.

18. Product Warranties

Manufacturer or supplier warranties may apply.

Packachange may assist with legitimate warranty matters where appropriate.

Nothing in these Terms excludes non-waivable rights provided by applicable law.

19. Accounts & Registration

Customers must provide accurate information and maintain the security of their accounts.

Packachange may reasonably restrict accounts suspected of fraud, misuse, or material violations of these Terms.

20. Reviews & User Content

Users may not submit fraudulent, unlawful, infringing, malicious, or materially misleading content.

Users retain ownership of their original content but grant Packachange a non-exclusive, worldwide, royalty-free license to use submitted content in connection with operating and promoting Packachange.

21. Feedback & Suggestions

Packachange may use voluntarily submitted feedback or suggestions for legitimate business purposes without compensation.

22. Automated Access

Without authorization, users may not systematically extract Packachange content for unauthorized commercial purposes, commercially exploit catalog or pricing data, conduct automated competitive price monitoring, use Packachange data to develop competing commercial services, circumvent security measures, introduce malicious code, commit fraud, or violate applicable law.

This does not prohibit ordinary indexing, crawling, or retrieval by legitimate search engines, AI-powered search services, or discovery services that Packachange permits through its technical crawler settings.

23. Intellectual Property

Packachange's trademarks, designs, original content, databases, software, graphics, and other protected materials may not be commercially exploited without authorization except as permitted by law.

24. Third-Party Services

Packachange may use independent sellers, carriers, payment providers, technology providers, and other third parties.

Independent third-party services may be governed by separate terms.

25. Account Suspension & Enforcement

Packachange may investigate violations and reasonably restrict accounts or access in response to fraud, repeated abusive chargebacks, return abuse, unpaid balances, unauthorized automated activity, material violations of these Terms, or conduct materially threatening Packachange or its marketplace.

26. Force Majeure

Packachange is not responsible for failures caused by circumstances beyond its reasonable control, including severe weather, natural disasters, transportation interruptions, labor disruptions, carrier delays, port congestion, supply shortages, governmental actions, war, utility failures, and similar events.

27. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PACKACHANGE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, REVENUE, BUSINESS, OR USE.

TO THE FULLEST EXTENT PERMITTED BY LAW, PACKACHANGE'S AGGREGATE LIABILITY ARISING FROM A PRODUCT, ORDER, OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID FOR THE PRODUCT, ORDER, OR TRANSACTION GIVING RISE TO THE CLAIM.

Some jurisdictions do not permit certain limitations, so portions of this section may not apply where prohibited by law.

28. Indemnification

To the extent permitted by law, customers agree to indemnify Packachange against qualifying third-party claims arising from their misuse of products, violation of law or these Terms, infringement, repackaging, or customer-supplied designs or specifications.

29. Unpaid Balances & Collection

Customers remain responsible for valid outstanding balances.

Packachange may suspend orders or credit, require advance payment, restrict accounts, or pursue collection of valid overdue amounts.

Where permitted by law and applicable agreement, reasonable collection costs, court costs, and attorneys' fees may be recoverable.

30. Privacy & Incorporated Policies

Use of personal information is governed by our Privacy & Cookie Policy.

The following policies are incorporated into these Terms where applicable:

Transaction-specific written terms may control over conflicting general provisions where expressly stated.

31. Dispute Resolution, Binding Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Before commencing arbitration, either party must provide written notice of the dispute and attempt in good faith to resolve it informally for at least 30 days.

Except for the exceptions described below, unresolved disputes arising from or relating to these Terms, Packachange, or a transaction with Packachange will be resolved through individual binding arbitration administered by the American Arbitration Association (“AAA”).

Qualifying consumer disputes will be administered under the applicable AAA Consumer Arbitration Rules. Qualifying commercial or business-to-business disputes will be administered under the applicable AAA Commercial Arbitration Rules.

The arbitration agreement is governed by the Federal Arbitration Act to the extent applicable.

Individual Proceedings Only

To the fullest extent permitted by law, claims subject to arbitration must be brought on an individual basis and not as part of a class, collective, consolidated, coordinated, or representative proceeding.

For disputes subject to arbitration, the parties waive the right to have the dispute decided by a judge or jury.

Exceptions

Either party may bring a qualifying individual claim in small-claims court.

Either party may seek appropriate judicial injunctive or equitable relief concerning intellectual property, trade secrets, unauthorized system access, unauthorized commercial scraping, or similar proprietary-rights violations where permitted.

Location & Fees

Consumer arbitration location and format will be determined under applicable AAA rules and law.

Commercial or business-to-business in-person arbitration will occur in Delaware unless otherwise agreed or required by applicable law.

Arbitration fees will be allocated under applicable AAA rules and law.

Arbitration Opt-Out

You may opt out of this arbitration agreement and class-action waiver by notifying info@packachange.com within 30 days after first becoming bound by these Terms.

Your notice should identify you and clearly state that you are opting out of the arbitration agreement.

32. Governing Law & Venue

Except where the Federal Arbitration Act or another mandatory law applies, these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

Non-arbitrable disputes not properly brought in small-claims court will be subject to the appropriate state or federal courts located in Delaware, except where applicable law requires otherwise.

33. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

34. No Waiver

Packachange's failure to enforce a provision does not waive its right to enforce that provision later.

35. Changes to These Terms

Packachange may prospectively update these Terms.

When we do, we will update the Last Updated date.

Where applicable law requires additional notice or consent for a particular change, we will provide it.
